As a User you agree to these terms & conditions, if you are representing on behalf of any other legal entity, company and the like, you confirm to have the necessary authorizations and to represent such entity its affiliates, heirs. You confirm having necessary authority to be bound by these terms and conditions.

User represent that you are a valid person, entity meeting all the required age, soundness of mind & other mandatory requirement under the eye of law to enter into this relationship with Medline.

When any user engages with Medline’s service, products, offers/enrols/registers these terms and conditions are applicable. At the sole discretion of Medline any specific terms and conditions/clause might be superseded and overridden under specific conditions by a written contract only. The remaining part of the terms and conditions shall prevail & remain valid unless deleted or removed from terms & conditions. Whenever there is any reference to these general terms and conditions it shall mean and refer to these Medline’s Terms and Conditions. Primarily, Medline intends to offer programs which are aimed to improve skills and understand concepts from basic to advance on serval medical science related topics. 2.Course Listing:

for the purposes of this clause: “User” shall mean both:
a, Such individuals/entities who intends to avail the services/products/offers from Medline; applicable
b, Users who intend to contribute contents for Medline’s website;

for the purpose of this clause “host/owner” to course/content/service, offer/product/programme on Medline’s website” shall include:
a, Medline on its own;
b, any third party with which Medline has collaborated to create course/ contents/services/products/programmers/offers etc.,

Medline will create various course/content/service, offer/product/programme on its own and/or also in collaboration with expert third-party and make it available for Users on its Website/application. When the service/ offer, product/content is provided by the third-party sponsors, owners, then such service/ offer, product/content shall be subject to the terms and conditions of such third party including the pricing/course fee. In case of any conflict between the terms & conditions of such third party and Medline’s terms, the third-party terms shall prevail to the extent of such programme, content, service, offer, product which are hosted and offered by such third-party.

All details of the course/content/service, offer/product/programme will be made available on the dashboard of Medline’s website/Application. Medline will individually identify and list the name of the course/content/service, offer/product/programme; mention the subjects, topics, number of sessions, mode of conduct, and time slots, pricing and financial terms, timelines, will be visibly displayed on the Medline’s website/App to the User participants. Any doubts and queries regarding the same are to be written to [email protected] and also can be addressed to Customer Relationship Manager.

3. Original Work:

Medline permits Users to post, upload, publish, submit and transmit any contents they have created of their own on topic concerning medical science. Such original User contents shall also include any blogs whether in written and/or in a video form. User represent and warrant that User is the sole and exclusive owner of such content created which will be shared with Medline-on its website/Application. Such original work will automatically become the proprietary of Medline and the user expressly consent to such Assignment of the work to Medline. Medline will make necessary payments according to the subjective written arrangements with such User.

4. Protected & authorized work:

Medline permit its User to also post, upload, publish, submit and transmit any contents which are protected but authorized work. User represent and warrant that only upon obtaining necessary and adequate permissions, such protected work/content be shared on the website/application of Medline. User acknowledge, understand & agree that User will remain solely responsible for all the protected and authorized work. User represent and warrant that the work/contents does not infringe, misappropriate, violate a third party’s patent, copyright, trademark secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

Subject to the Intellectual property clause of this Terms and Conditions, Medline requires that such protected & authorized work must have a worldwide, irrevocable, perpetual, non-exclusive, royalty free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, transmit, stream, broadcast, access, view and otherwise to exploit such contents. Although Medline does not claim any ownership rights in such contents, nothing restricts and limits Medline from commercially exploiting such protected & authorized contents. Any claims of whatsoever nature arising against such authorized protected work, including but not limited to claims arising due to inadequate permissions, claims of plagiarism etc., against Medline will be governed by the indemnity clause of this terms and conditions.

5. Account registration:

In order to access and avail Medline’s services, offers, products, programme/courses, you must register with Medline. For the registration, user is required to create an account know as (“Medline Account”) and thereby become a member. User is required to maintain the secrecy; confidentiality of your login credentials and it will be the responsibility of the user to store the credentials in safe manner & you shall remain solely responsible for any actions under your Medline account irrespective of whether such activities are authorized or not. User must mandatorily inform Medline of any unauthorized use of Medline’s account.

User must not have more than one active Medline account. User agree to provide accurate and complete information while registering. At the sole discretion of Medline your /User account will be suspended and terminated if any of the information provided is including but not limited to its inaccuracy, fraudulent, incomplete, or otherwise in violation of these Terms and conditions.

You can also register to join and access Medline’s website through other social media websites, like Google, Facebook, LinkedIn etc., the User can login into Medline using the same credentials used to log in such social media website.

6. Medline’s Deliverables:

User may receive a certificate upon successful completion of the course/programme which was opted. User will have access to materials and discussion boards for peer-peer discussions and discussion with faculty during the time that they are and remain enrolled into a course.

7. Payment Terms:

The Fees payable for availing the services/offer/products/programme/courses from Medline will be displayed to the User before the enrolment.

User will need to click on the registration tab and fill in the registration form which requests necessary details (including personal information) to be mentioned & filled via this registration form.

User to note that post submitting registration/enrolment, Medline reserve right to either approve, confirm or reject the registration accordingly. Generally, the registration/enrolment will be denied if Medline has sufficient reasons to believe that it has been furnished with improper information, false, fraudulent, incomplete information is up via, in the registration form. Such rejections or approvals will happen within seven working days since the date of such registration/enrolment requests or as Medline decides from time to time. Absence of rejection expressly within seven working days will automatically expire the request submitted and the form is no more valid. User must reinitiate a fresh form with accurate credentials. Medline shall not refund any registration fee paid if the request for registration has been rejected for the aforementioned reasons. Upon either successful completion or rejection, the same will be notified to User electronically (SMS/ E-MAIL etc) of the status.

Upon successful completion of registration process including a complete payment of the quoted fees, Medline will provide access to the contents which User have opted/selected. The fee for each of the individual content shall be clearly and visibly be displayed on the Medline’s dashboard on its Website/Application. User to note fee once paid will not be refunded upon cancelation of the registration/enrolment.

8.Availing any hard copies of the contents/material on Medline:

User Indemnity User understand that use of Medline’s service offer/products/programme/courses is provided on an “as is” basis. Engaging with Medline is entirely at the User’s sole and own decision and risks. Medline makes no warranty whether expressed or implied, including without limitation of merchantability, fitness for a particular purpose, or noninfringement of intellectual property rights or any implied warranty arising from any statute/law, regulations etc., while in the course of providing the offer/products/programme/courses, or in the use of general trade. In no event Medline shall be liable for any direct, indirect, incidental, consequential, special, exemplary punitive, or any other monetary or other damages, fees, fines, penalties, or liabilities arising out of or relating in any way to Medline’s website, or sites accessed through Medline’s site, App, and / or content or information provided. This is a general indemnity protection to Medline, wherein Medline is free of its obligations to indemnify or defend any User against any claims related to infringement of intellectual property rights. 9. Medline’s Limited Liability:

11. Intellectual Property rights:

Any original contents of the User shared and uploaded shall automatically become the proprietary of Medline. As such all the rights in intellectual property belongs to Medline only. Users availing the services and products from Medline are only permitted/granted limited license to use the contents such as to download, store, display only for the purposes for which enrolment has been sought/for personal use only. User’s suggestions, feedbacks, shared through Medline’s website/APP shall automatically become the proprietary of Medline.

In no event shall user commercially exploit such information/contents available on Medline’s website, APP. Any such commercial collaboration shall be with the written consent of Medline only. However, Medline is not bound by any such users’ offers.

User shall not advertise; sell any of Medline’s products, services or domain names or otherwise, whether for profit; or solicit others, including without limiting to any charity; solicitations, contributions or donations; or use any public forum in any way that is unlawful, or harms the Company or any other person or entity determinantal to Medline.

User shall not access; use Medline’s application/Website/Services/products in any manner that is determinantal, having possibility of damage, disable, overburden or impair any of the application's/Website's servers or such networks connected to any of the servers on which the Application/Website is hosted;

Intentionally or unintentionally interfere with or disrupt the services or violate any applicable laws related to the access to or use of the Application/Website/Services/products, violate any requirements, procedures, policies or regulations of networks connected to the Application/Website/Services/products, or engage in any activity prohibited by these Terms;

User must not to interfere, disrupt or otherwise cause harm to Medline’s Application/Website/Services/products, materials, systems resources, or gain unauthorized access to user accounts, passwords, servers or networks connected to or accessible through the Application/Website/Services/products or any affiliated or linked sites;

User is prohibited from using deep-links, page-scrape, robot, spider or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to increase traffic to the Application/Website/Services/products, to access, acquire, copy or monitor any portion of the Application /Website/Services/products, or in any way reproduce or circumvent the navigational structure or presentation of the Application, or any content, to obtain or attempt to obtain any content, documents or information through any means not specifically made available through the Application/ Website/Services/products;

User shall not alter or modify any part of the Medline’s services, contents, offers; which are not permitted by: (i) these Terms & conditions; and (ii) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdiction; or

Users understand that Medline at its sole discretion, restrict, modify, alter, suspend, terminate your access to Medline’s website/APP and you agree to it without any demur.

13. Duration/period:

User will be bound by these Terms and Conditions until the such duration for which the with the User has registered for such of the Medline’s product, services, offers. The agreement automatically comes to an end upon purchase of any product or services or such term of period as specified individually.

14. Medline’s right to terminate:

i) User has materially breached this terms and conditions; for the purposes of this clause material breach shall mean User has fraudulently misrepresented information, misused the services/access to commercially exploit the contents available on Medline’s Application/Website;

ii) Provided insufficient information including the personal information which is needed to provide the services;

iii) User have violated applicable laws, regulations and/or third-party rights; including indulgence in any anti-social behaviour

iv) If Medline in good faith and reasonably to protect the safety of property of other members;

v) Medline is in receipt or notice that User is restricted to have engagements such as with Medline by any applicable law including export control restrictions.

15. Consequence of Termination:

if the Agreement is terminated for the aforementioned reasons:

Medline has no obligations to return any of your content, including the feedback;

  • Entire Agreement: The Terms, along with the Privacy Policy, and any other guidelines made applicable to the Medline’s website/Application from time to time, constitute the entire agreement between Medline & User with respect to User access to or use of the Application, Website and the Services thereof.
  • Assignment: User is prohibited to assign or otherwise transfer Your obligations under these Terms and conditions, or any right granted hereunder to any third party. However, Users grant the right to assign the contract in case of Medline’s merger, acquisition, sale of Medline’s website with a notice placed on Medline’s website/APP.

  • Relationship: You acknowledge that Your participation/registration on the Application, does not make You an employee or agency or partnership or joint venture or franchise of Medline.
  • Force Majeure: applicableapplicable Medline will make every effort to deliver performances on time. However, Medline shall be free from any claims and damages in case of any delays or non-performances due to any force majeure events, natural or man-made; pandemic, epidemic; endemic; including conditions which may restrict or prevent performance including on the specific day of service request like traffic weather, non-availability of phone connections, software or other breakdowns, non-accessibility, conditions of risk or any un-foreseen incidents, etc. if beyond the reasonable control of Medline. Medline will be free of its obligations fully if such Force Majeure event continuous to occurs for a continuous period of 2 months.
  • Governing law & Jurisdiction: These terms and conditions will be governed according to Indian laws. Any dispute arising out of the terms and conditions shall be subject to the exclusive jurisdiction of Bangalore courts.
  • Grievance officer: This EUL governs the direct user rights, access & license of the User. User can write to [email protected] and address any of their grievance while using Medline’s platform including issues relating to infringement of intellectual property.

License & Right to Use: Medline grants User a license in its technology only. User to understand that none of the Medline’s Technology is being “sold”. Such license is a non-exclusive, non-transferable right to use, install, download the Medline technology; the right to use any of Medline’s associated cloud services. However, User to note that such access/the right to use the cloud service will be subject to such other approved cloud source/service provider terms.

This EUL governs the direct user rights, access & license of the User.

3. Conditions/Restrictions of Use:

User only has a limited license to access Medline’s Technology to participate; learn and complete the opted course/service/product/offer (purpose). User does not receive any title to the copy or the software itself. There are no rights granted to the User other than which are expressly mentioned herein.

User is strictly not permitted to (User to note that bellow is not an exhaustive list):

A) modify, create derivative works from, distribute, publicly display, publicly perform, transfer, sell, sublicense, to any third party whether for money or otherwise;

B) monetize or commercially exploit any of the Medline Technology/ functionality by making it available in whatsoever manner to any third parties;

C) remove, modify, or conceal any product identification, copyright, proprietary, intellectual property notice or other marks

D) reverse engineer, decompile, decrypt, disassemble, modify, or make derivative works, or attempt to derive the source code of Medline Technology;

E) reproduce any of the copyrighted materials without prior express written consent whether Medline/and or original author of such work.

4. Medline Cloud Services: User represent and warrant as follows:

User will intentionally or not interfere with other User’s access; use; that of cloud service; or with its security.

User will not facilitate any disruption, or attempt to disrupt the cloud service, distribute malware (including viruses, trojan horses, worms, time bombs, spyware, adware, and cancelbots); whether intentional or not;

User will not Facilitate any third party with unauthorized access; penetration;

User will not cause an unusual spike or increase in User’s use/access of the Cloud service which negatively impacts the cloud service operations/functionality;

User is expressly prohibited to authorize any third party to exercise this user rights on their behalf. However, written approvals from Medline in such circumstances might be provided at Medline’s sole discretion on reasonable grounds.

5. Medline’s developing Technology:

Medline might refine or enhance the functionality of its technology including the Cloud Service. However, User to note that such refinement will only be an advancement without interrupting User from their access. In the course of providing efficient infrastructure, including cloud services, Medline might at frequent intervals will schedule maintenance of its tech tools/software, cloud service etc., in such scenarios User might face some disruption. Whenever reasonably practicable, Medline shall provide Users with an advance notice of such maintenance. User acknowledge that at some instances, Medline might need to maintain its tech tools/software cloud service etc., without providing any advance notice and at such intervals User’s access to use Medline Technology including the cloud service might be temporarily suspended.

Medline might end the life of Medline’s Technology providing a written notice on its webpage www.smartonlineeducation.com. Medline will use commercially reasonable efforts to transition User access to a similar Medline’s Technology.

6. Protecting User Account:

User will keep all account information up to date. User represent and warrant to use all reasonable means to protect account information, passwords and other login credentials. User will notify Medline if there is any suspected, unauthorized use or access to User account. User must note that if they will be using any other third-party products along with Medline’s Technology, User alone will be liable to comply with such third-party provider terms, including its privacy policy. Medline will in no way be liable for any of the claims from such third-party, more-fully described in the Indemnification clause of this EUL. Medline Technology does not guarantee to provide an ongoing and continuous support to integrate any third-party products which are not native/part of the Medline’s Technology.

7. Confidential Information and Use of Data:

As recipient of your information, Medline/Recipient will hold it in confidence and use no less than a reasonable care to avoid disclosure of any confidential information to any third party, unless such permitted recipients (employees, affiliates, contractors, etc.,) has a need to know. Medline/Recipient will ensure that its Permitted Recipients are also obligated with the same confidential obligations. However, such obligations to Medline/Recipient will not apply to information: (i) is known by Recipient without confidentiality obligations; (ii) is or has become public knowledge through no fault of Recipient; or (iii) is independently developed by Recipient. Recipient may disclose Discloser’s Confidential Information if required under a regulation, law or court order, Medline/Recipient will either return, delete or destroy all Confidential Information of User and certify the same if requested by the user.

Medline will access, process and use User data, information in accordance with the applicable privacy policy and data protection laws and guidelines. User to visit the terms of the privacy at https://smartonlineeducation.com/privacy

8. Notice and User Consent:

User will be provided the access to Medline’s Technology until the completion of the course/programme, service opted etc., User is responsible to provide notice/notify Medline if they intend or wish to continue the access post the scheduled duration of that course/ programme, service opted etc. By accessing and further requesting access to Medline’s technology, User to note that it is expressly providing consent to Medline.

9. Open-Source Software:

Medline Technology is operated on an open-source software which is not owned by Medline and is subject to a separate license term. User can view the terms set out in that license at _ http://www.gnu.org/licenses/agpl-3.0.html and http://www.apache.org/licenses/LICENSE-2.0 The applicable of this open-source software license does not materially or adversely affect the User’s ability to exercise its usage rights in Medline’s Technology.

10. Ownership:

User to note that there is nothing in this EUL which transfers ownership in, or grants any license to, any intellectual property rights. Medline is and will continue to be the owner of its Technology and to the contents thereupon. Medline might use any feedback User provide in connection with the User’s experience in accessing the contents and/or Medline’s Technology. The ownership in such feedback, suggestion automatically becomes proprietary to Medline.

11. Indemnification:

User understand that use of Medlin’s service offer/products/programme/courses is provided on an “as is” basis. Engaging with Medline is entirely at the User’s sole and own decision and risks. Medline makes no warranty whether expressed or implied, including without limitation of merchantability, fitness for a particular purpose, or noninfringement of intellectual property rights or any implied warranty arising from any statute/law, regulations etc., while in the course of providing the offer/products/programme/courses, or in the use of general trade. In no event Medline shall be liable for any direct, indirect, incidental, consequential, special, exemplary punitive, or any other monetary or other damages, fees, fines, penalties, or liabilities arising out of or relating in any way to Medline’s website, or sites accessed through Medlin’s site, App, and / or content or information provided. This is a general indemnity protection to Medline, wherein Medline is free of its obligations to indemnify or defend any User against any claims related to infringement of intellectual property rights. Information on Medline’s website is not an educational counselling, guarantee any job, admissions to universities, colleges, clearing any examinations-board or competitive etc., Information is not any advice to base any of your individual further studies, career decisions

12. Medline’s Limited Liability:

User acknowledge and agree that, to the maximum extent permitted by law whether in tort, contract or otherwise, the entire risk arising out of your access to and use of the Medline’s Technology, and your registration to either to access and/or share contents with Medline via the Medline’s Technology, shall be an aggregate of fee amount paid to Medline for the academic content and nothing more. In no event Medline shall be liable to User for damages which are prohibited by law including but not limited to any direct, indirect, special, incidental, or consequential damages of any character arising as a result of your using the Medline Technology.

13. Subscription:

User’s right to access and license in Medline’s Technology is acquired on the basis of their enrolment/registration only. Such access will be limited only until the tenure of the course which has been opted. Further extension of any such term to access Medline’s Technology will always be through a written approval from Medline at its sole discretion.

14. Fee:

User will be provided access to Medline’s Technology once the User has been registered/enrolled to any services/programme/course/ product etc for such duration/timelines as listed/prescribed/scheduled for each of the individual course. The payment of fee policy will be as per the Medline’s terms & conditions available https://smartonlineeducation.com/tos_and_honor. Upon completion of the duration scheduled for such particular course/service/product/offer., etc User will automatically be denied access to Medline’s Technology. Any User intending to extend such duration must notify Medline requesting for continuing to provide access to Medline’s Technology. Medline retain sole discretion to approve or deny such requests for extension.

15. Term-Termination:

Term: This EUL shall be binding upon the User for such durations until the completion of the course/programme/service/product opted.

Termination: Medline retains the right to terminate the service, deny access to User on immediate basis if Medline finds that:

  • - User has materially breached this terms and conditions of this EULA; for the purpose of this clause material breach shall mean when User is in violation of license and rights to use Medline Technology including the Cloud Services.
  • - Provided insufficient information including the personal information which is needed to provide the services;
  • - User have violated applicable laws, regulations and/or third-party rights; including indulgence in any anti-social behaviour
  • - If Medline in good faith and reasonably to protect the safety of property of other members;
  • - Medline is in receipt or notice that User is restricted to have engagements such as with Medline by any applicable law including export control restrictions.
  • - Consequence of Termination: if is terminated for the aforementioned reasons:
  • - Medline has no obligations to return any of your content, including the feedback;
  • - User will have no access to your account; nor will the account be restored; further User will be prohibited from re-registering with Medline.

16. General Provision:

Survival: Clauses such as: Confidential Information and Use of Data; Ownership; Fee; Medline’s Limited Liability; Termination and General provisions will survive termination /expiration.

Third-party: This EUL does not grant any right or cause of action to any of the third party.

Assignment and sub-contracting: User is prohibited to assign or otherwise transfer Your obligations under these Terms and conditions, or any right granted hereunder to any third party. However, Users grant the right to assign the contract in case of Medline’s merger, acquisition, sale of Medline’s website with a notice placed on Medline’s website/APP.

Compliance with Laws: Both the parties i.e., User & Medline will comply with all laws and regulations applicable to their respective obligations under this EULA. Medline might restrict its availability of Medline’s Technology including the processing of your data/information in any particular location or modify/discontinue any feature if such is mandated by applicable law of that jurisdiction.

Export: Medline’s Technology, including its cloud services, products, services etc., are subject to US and local export control and sanction laws. User acknowledge ad agree to its applicability and comply not to receive, use, transfer, export or re-export any of Medline Technology in a way which causes Medline to violate such laws.

Governing law & Venue: The terms of this EUL will be governed in accordance with Indian laws. Any dispute arising out of these terms and conditions shall be subject to the exclusive jurisdiction of Bangalore courts.
